Vijaya Diagnostic Expands to Northeast, Acquires Guwahati-based Integrated Diagnostic Centre

The transaction, valued at INR 46 crore, includes a 100% stake in Arya Wellness Centre and marks Vijaya Diagnostic Centre's entry into the North-East India diagnostics market.

Telangana-based leading diagnostic provider Vijaya Diagnostic Centre has announced the acquisition of Arya Wellness Centre, an integrated diagnostic centre based in Guwahati, through a Business Transfer Agreement (BTA).

The transaction, valued at INR 46 crore, includes a 100% stake in Arya Wellness Centre and marks Vijaya Diagnostic Centre's entry into the North-East India diagnostics market.

The deal is expected to close within around three months, subject to the fulfilment of customary Conditions Precedent and other terms and conditions specified in the BTA.

Established in 2021 as a joint venture/AOP between NEMRIL and HRPL, Arya Wellness Centre is a leading B2C-focused multispeciality diagnostic centre located in Guwahati.

The centre provides an integrated range of diagnostic services covering both radiology and pathology alongside OPD services

Its capabilities include MRI, CT scans, ultrasound, mammography, X-ray, pathology tests, high-end interventional radiology procedures, and histopathology.

The latest acquisition is intended to establish the Telangana-based diagnostic provider’s presence in Assam and progressively expand across the North-Eastern region, using Arya Wellness Centre as a base for its regional expansion strategy.

Vijaya Diagnostic Centre plans to fund the acquisition through internal accruals. The company expects the transaction to be immediately earnings per share (EPS) accretive following completion.

According to Vijaya Diagnostics, the acquisition aligns with its strategy of expanding its footprint through B2C-focused businesses, an integrated "All Under One Roof" model, and strategic geographic expansion.

Further, it also complements the company's growing presence in West Bengal and extends its concentric-circles approach into the North-East, creating a strategic platform for further expansion across the region.

Commenting on the latest development Suprita Reddy, Managing Director and CEO of Vijaya Diagnostic Centre Limited, commented on the acquisition, stating, "Our entry into Guwahati represents another important milestone in Vijaya’s journey towards building a high-quality integrated diagnostics platform."
