Blackstone & TPG Complete Hologic Acquisition, Appoint Joe Almeida as CEO
The deal includes minority investments from a subsidiary of the Abu Dhabi Investment Authority (ADIA) and an affiliate of GIC.
Blackstone and TPG have finalized the acquisition of Hologic, Inc., taking the women’s health-focused MedTech company private in a transaction valued at up to $79 per share. The deal includes minority investments from a subsidiary of the Abu Dhabi Investment Authority (ADIA) and an affiliate of GIC.
With the completion of the transaction, Hologic shareholders will receive $76 per share in cash along with a non-tradable contingent value right (CVR) of up to $3 per share. The additional payout is tied to the achievement of specific global revenue targets in Hologic’s Breast Health business for fiscal years 2026 and 2027.
As part of the transition, José (Joe) E. Almeida has been appointed Chief Executive Officer, effective immediately. He succeeds Stephen MacMillan, who stepped down after more than 12 years leading the company. Hologic’s common stock has also been delisted from the Nasdaq Stock Market following the completion of the acquisition.
Almeida previously served as Chairman, President, and CEO of Baxter International from 2016 to early 2025. During his tenure, he led operational and portfolio changes while focusing on medical product innovation. Prior to Baxter, he was Chairman, President, and CEO of Covidien until its acquisition by Medtronic in 2015.
The acquisition, first announced in October 2025 and approved by shareholders in February 2026, positions Hologic under private ownership backed by major global investment firms. The company is known for its focus on women’s health technologies, including diagnostics and medical imaging solutions.
Blackstone and TPG indicated that the investment aligns with their broader focus on healthcare innovation and MedTech growth. The addition of Almeida is expected to guide the company through its next phase, with an emphasis on expanding its product portfolio and scaling operations.
