Sutter Health, Allina Health to Form $26B Nonprofit System Across Multiple States

Sutter Health and Minneapolis-based Allina Health announced a letter of intent to merge, forming a $26 billion nonprofit health system.

The deal would expand Sutter’s operations beyond California into Minnesota and Wisconsin, with Allina becoming Sutter’s “Upper Midwest Division.”

The combined system will encompass 39 hospitals, more than 18,000 physicians, and over 400 care sites. The two health systems aim to complete due diligence and finalize terms in the coming months, with regulatory approval expected before a planned close by the end of 2026.

Sutter, headquartered in Sacramento, currently operates throughout the San Francisco Bay Area. The merger is expected to enhance Sutter’s digital and technological initiatives by leveraging AI and platform development in California alongside medtech and engineering hubs in Minnesota.

At the J.P. Morgan Healthcare Conference in January, Sutter highlighted plans to pursue “noncontiguous growth opportunities” and hired Scott Norlund to oversee partnerships and mergers outside California.

The combined organization’s annual revenue, based on 2025 figures, will total $26 billion, with Sutter contributing $19.8 billion. Sutter CEO Warner Thomas will continue to lead the merged system, while Allina CEO Lisa Shannon will head the Upper Midwest division.

Cross-market mergers like this have become increasingly common, offering health systems broader geographic reach and potential leverage in insurer negotiations. Research indicates that over half of hospital mergers between 2010 and 2019 involved cross-market deals, which are often subject to less regulatory scrutiny than mergers within the same market.

The partnership marks a strategic expansion for Sutter Health, positioning the combined system to deliver services across multiple states while advancing digital and technological capabilities in healthcare delivery.
