Sudarshan Pharma Industries to Acquire 9.5% Stake in US-Based MedTherapy Biotech

The transaction will be settled in cash in US dollars, with the consideration determined based on valuation under prevailing norms.

BSE-listed Sudarshan Pharma Industries Ltd. has approved the acquisition of a 9.5% stake in US-based MedTherapy Biotechnology Inc., marking the company’s entry into the cell and gene therapy sector and its first major overseas biotech acquisition.

The company will acquire 24,23,675.64 equity shares of MedTherapy Biotechnology, with each share having a par value of US$0.0001. The transaction will be settled in cash in US dollars, with the consideration determined based on valuation under prevailing norms.

The approval was granted by Sudarshan Pharma’s Board of Directors at its meeting held on September 5, 2026. The company disclosed the transaction to the stock exchanges under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Promoters To Co-Invest

Sudarshan Pharma Chairman and Managing Director Hemal Mehta will separately acquire 3,82,685.63 shares, representing a 1.5% stake in MedTherapy Biotechnology. Joint Managing Director Sachin Mehta will acquire an equivalent number of shares, also representing 1.5%.

The company said the transaction does not constitute a related party transaction and will be undertaken on an arm’s-length basis. Legal and commercial due diligence will be completed before the transaction closes, along with applicable Foreign Exchange Management Act (FEMA) compliances.

MedTherapy Biotech Focuses On CAR-T Manufacturing

MedTherapy Biotechnology is a Delaware-incorporated company founded in 2018 by professionals associated with Harvard and former Novartis executives. Based in Boston, the company operates in cancer cell and gene therapy and provides integrated CAR-T cell contract development and manufacturing organization (CDMO) services.

Its operations include a commercial-scale GMP manufacturing facility in New Delhi and a technology development site in Boston.

Sudarshan Pharma said the acquisition is intended to help it establish a presence in the US, gain access to MedTherapy’s customer base, contracts and distribution network, and expand into new products and services.

The transaction requires applicable regulatory approvals under India’s overseas investment framework. The company expects to complete the acquisition on or before March 31, 2027.
