Providence Health & Services announced Thursday that it is “exploring strategic options” for its regional insurer, Providence Health Plan (PHP), including a potential sale.

According to the integrated health system, plans like PHP face rising operational costs and lack the scale of larger national payers, limiting their ability to adapt to industry challenges. Unlike larger insurers, smaller regional plans cannot absorb cost pressures through other business lines or invest heavily in critical technologies.

Providence provided no details on possible partners, timing, or the structure of a sale, stating that more information will be shared as plans become clearer.

Chief Financial Officer Greg Hoffman said the review aligns with the health system’s broader focus on high-quality care and the long-term strength of the organization. “A potential sale doesn’t reflect the quality of PHP or the caregivers that work there,” Hoffman added.

“We’re taking a thoughtful approach,” he said. “Throughout this process, we will keep our caregivers, members, clinicians, providers, and employer partners at the center of our decisions.”

Providence has been signaling financial challenges for over a year and has previously consolidated or spun off departments, reduced leadership roles, and conducted multiple rounds of layoffs.

The health system said PHP will continue normal operations during the strategic review, honoring existing contracts. Providence emphasized that continuity of care for members, providers, and employer clients will remain a priority throughout the process.
