Allina Health & Sutter Health Sign Definitive Agreement to Form Integrated Nonprofit Health System

Allina Health and Sutter Health have signed a definitive agreement to advance plans for an integrated nonprofit health system, formalizing a partnership first announced through a letter of intent in March.
The organizations said the combined system will focus on expanding patient access, accelerating digital transformation, strengthening workforce recruitment, and increasing investments in research and specialty care services.
As part of the agreement, the systems plan to invest more than $2 billion in Minnesota and western Wisconsin. The funding will support the development of new ambulatory care locations, expansion of specialty institutes, and deployment of AI and digital tools aimed at reducing administrative workloads for healthcare staff.
The organizations also said they plan to improve appointment scheduling and patient access through consumer-focused digital technologies while expanding clinical research and trial capabilities.
Once the transaction closes, Allina Health will operate as the Upper Midwest Division of Sutter Health while continuing to use the Allina Health name and maintaining its regional headquarters in Minneapolis. Sutter Health will continue to be headquartered in California.
Warner Thomas will remain president and CEO of Sutter Health and lead the combined organization. Lisa Shannon will continue serving as president and CEO of Allina Health.
The transaction is expected to close by the end of 2026, pending state and federal regulatory approvals.
The agreement comes as health systems across the United States continue pursuing consolidation strategies to address workforce shortages, rising operational costs, increasing demand for digital healthcare delivery, and pressure to expand specialty care access.
Under the partnership, the organizations said they intend to accelerate physician and clinician recruitment efforts and support workforce development initiatives. The systems also highlighted plans to increase focus on preventive care and population health management.
In a joint announcement, both organizations emphasized the role of technology and operational integration in improving care coordination and patient experience.
Sutter Health President and CEO Warner Thomas said the combined organization would focus on expanding access to care and redesigning healthcare delivery models through technology and operational integration.
Allina Health President and CEO Lisa Shannon said the agreement strengthens the organizations’ ability to expand clinical capabilities and respond to evolving healthcare needs across their communities.
