CommonSpirit Locks In Sale of Ohio-Based Trinity Health System to UPMC

CommonSpirit Health has entered into a definitive agreement to sell its Ohio-based Trinity Health System to UPMC, marking a formal step toward expanding the Pittsburgh-based health system’s footprint into eastern Ohio. The transaction, which is subject to regulatory approvals, is expected to close in the fall of 2026. Financial terms were not disclosed.

Trinity Health System operates three hospitals located in Steubenville, Pleasant Heights, and Dennison, along with urgent care centers, behavioral health services, and physician offices. The system has been part of CommonSpirit’s broader national network, which spans 138 hospitals and more than 2,300 care sites across 24 states.

UPMC, headquartered in Pittsburgh, currently operates more than 40 hospitals and 800 outpatient sites, alongside an integrated insurance division that contributes a significant share of its overall revenue. The organization has been steadily expanding its regional healthcare footprint across neighboring markets.

According to the announcement, leadership from both systems emphasized that the agreement follows a period of collaboration and prior clinical partnerships spanning more than two decades. Those collaborations have included expanded access to specialty services such as oncology care and advanced orthopedic treatment for Trinity patients through UPMC programs.

Dwayne Richardson, interim president of Trinity Health System, noted in the announcement that UPMC’s community-focused care model and long-standing operational experience were key considerations in moving forward with the agreement. He also highlighted the intent to maintain continuity of services for local communities.

The transaction reflects ongoing restructuring activity within large nonprofit health systems, many of which have been evaluating regional partnerships to sustain operations amid financial pressure. CommonSpirit reported an operating loss of $687 million for the fiscal year ending June 30, 2025, while UPMC reported a $399 million operating loss in 2024 but has shown financial improvement in the first half of 2025.

Once completed, the deal will give UPMC a formal operational presence in eastern Ohio, a region where Trinity Health System has long served as a key provider of acute and outpatient care services.
