Universal Health Services Closes $835M Talkspace Acquisition

The companies plan to expand referrals between their care networks, allowing patients to move across emergency, inpatient, outpatient, and virtual behavioral health services.

Universal Health Services (UHS) has completed its $835 million acquisition of virtual behavioral care provider Talkspace, bringing the company under UHS as a wholly owned subsidiary and expanding its behavioral health delivery network across virtual and in-person care.

The debt-financed transaction valued Talkspace at $5.25 per share. Talkspace will retain its brand, organizational structure, and broader strategic direction, while CEO Jon Cohen, M.D., will report directly to UHS President and CEO Marc Miller.

The companies plan to expand referrals between their care networks, allowing patients to move across emergency, inpatient, outpatient, and virtual behavioral health services. Talkspace’s platform includes virtual intensive outpatient programs, therapy and medication management.

Founded in 2012, Talkspace operates a virtual network of more than 6,000 behavioral health professionals. Its services reach more than 200 million people through commercial insurers, Medicare, Medicare Advantage, TRICARE, employers and other healthcare partners, in addition to self-pay users.

Talkspace reported $229 million in revenue, $4.8 million in net income and $15.8 million in adjusted EBITDA in 2025.

UHS operates 30 acute care hospitals, more than 380 inpatient behavioral health facilities, approximately 170 outpatient facilities and a health plan. Its behavioral health business generated about 43% of the company’s $17.4 billion in total revenue in 2025.

UHS has identified Talkspace as part of its strategy to expand outpatient behavioral health services. The acquisition adds access to Talkspace’s therapist network and creates additional options for patients transitioning from inpatient or facility-based care to virtual services.

Cohen said the acquisition also opens a larger referral channel from health systems, physician practices and other parts of the healthcare continuum that had previously represented a smaller source of Talkspace patients.

Referral between the two organizations can begin immediately, with Talkspace already in-network for many UHS-insured patients. The broader integration effort is expected to focus on developing a more connected platform for transferring patients between virtual and in-person care over the next three to six months.

UHS expects the acquisition to be slightly accretive to adjusted net income in the first year after closing, excluding purchase-related costs, with the contribution expected to increase over time.
