The proposed acquisition covers the entire operations and assets of the Kinder Hospital

Manipal Health Enterprises is set to acquire Kinder Women’s Hospital and Fertility Centre in Bengaluru for INR 130 crore, aimed at expanding its presence in the city.

As part of the proposed acquisition, the healthcare entity has signed a Business Transfer Agreement (BTA) with Kindorama Healthcare, with the transaction structured as a cash consideration for the asset acquisition of the hospital.

It covers the entire business operations and assets of the Kinder Hospital and does not involve the acquisition of shares.

Located in the Doddanekundi Industrial Area of Bengaluru, Kinder Women’s Hospital and Fertility Centre is owned by Kindorama Healthcare. The hospital was commissioned in 2022 and currently has a capacity of 100 beds.

Manipal Health stated that the acquisition is allied to its existing business and is expected to create growth opportunities in line with the company's strategic direction.

The transaction is not classified as a related-party transaction, with no interest in the entity being acquired held by the promoter, promoter group, or group companies.

Further, the completion of the transaction remains subject to certain statutory and customary approvals, including those related to the change in ownership of the hospital.

As per reports, the acquisition is expected to be completed within 90 days of execution of the BTA.

The proposed acquisition adds a 100-bed women’s healthcare and fertility facility to Manipal Health’s presence in Bengaluru.

The group currently operates a network of 49 hospitals with more than 12,600 beds and 11,000 doctors across 24 cities in India.

The latest development comes after the healthcare giant recently announced its plan to acquire Sahyadri Hospitals in an estimated INR 6,300 crore deal, aimed at strengthening its footprint in western India.
