WVU Health System Signs Definitive Agreement to Acquire Independence Health System

West Virginia University (WVU) Health System has signed a definitive agreement to acquire Pennsylvania-based Independence Health System, advancing a deal first announced in 2025. The transaction is expected to close in September or October, pending regulatory approvals.
Under the agreement, WVU Health System will invest approximately $800 million across Independence Health System's five hospitals. The funding will support facility upgrades and the implementation of a new electronic health record (EHR) platform.
The acquisition would expand WVU Health System's presence in southwestern Pennsylvania and strengthen its footprint across the central Appalachian region. The health system already operates hospitals in Pennsylvania, Maryland, Ohio, and West Virginia.
Independence Health System, headquartered in Greensburg, Pennsylvania, was formed in 2023 through the merger of Butler Health System and Excela Health. Since its formation, the nonprofit health system has reported operating losses each year and faced financial pressures driven by staffing shortages and rising operating expenses.
Despite maintaining a leading market share in Butler and Clarion counties, Independence has encountered liquidity challenges. The health system also failed to submit timely financial audits for 2023 and 2024, leading to noncompliance with certain bondholder and lending agreements. Creditors, including Truist Bank, agreed to temporarily delay accelerated repayment requirements through a forbearance agreement that is set to expire on June 10.
As part of the acquisition, WVU Health System has agreed to assume responsibility for ensuring Independence meets its financial obligations, reducing the risk of default on existing liabilities.
The transaction comes as WVU Health System continues to report strong financial performance. The health network recorded $939 million in net income on $8.6 billion in operating revenue during the last fiscal year.
The combined organization is expected to increase WVU Health System's reach in western Pennsylvania, a competitive healthcare market influenced by major providers such as UPMC and Allegheny Health Network. Independence currently maintains clinical collaborations with both Pittsburgh-based health systems.
In a joint statement, the organizations said the combination is expected to improve operational efficiency and resource sharing across the expanded network.
