Agilent to Acquire Proscia for Up to $270 Mn to Expand AI-Enabled Digital Pathology
The acquisition is expected to expand Agilent's presence in digital pathology by combining its pathology instrumentation and reagents portfolio with Proscia's software platform
Agilent Technologies has entered into a definitive agreement to acquire Proscia, a provider of digital pathology software for clinical and life-sciences applications.
The all-cash transaction is valued at $240 million at closing, with up to an additional $30 million linked to the achievement of future performance milestones, bringing the potential total value to $270 million.
The acquisition is expected to expand Agilent's presence in digital pathology by combining its pathology instrumentation and reagents portfolio with Proscia's software platform.
Following completion of the acquisition, Proscia will become part of Agilent's Life Sciences and Diagnostics Markets Group.
By leveraging a growing repository of real-world data, Proscia offers additional AI-enabled synergies with Agilent's companion diagnostics (CDx) business.
The companies expect this integration to support biopharmaceutical partners and customers involved in clinical and translational research, including biomarker research and precision medicine.
The acquisition is also expected to add Proscia's recurring-revenue model to Agilent’s pathology portfolio aimed at supporting the company's long-term growth strategy.
Commenting on the latest development, Agilent President and CEO Padraig McDonnell said, “The acquisition establishes an Agilent platform for scientific intelligence in tissue-based precision medicine, connecting data generation with AI-based interpretation in a workflow that supports biomarker research through routine clinical use. With Proscia’s leading platform and talented team, we will be better equipped to help laboratories and biopharma customers manage and derive insights from pathology data.”
Proscia develops enterprise digital pathology software that connects slide scanners, laboratory information systems, image-analysis applications, artificial intelligence (AI) tools and pathology data within a unified workflow. Its platform supports clinical laboratories and life-sciences organisations across the United States and Europe.
According to the company, Proscia serves more than 4,000 laboratories, hospitals and clinics, as well as 16 of the 20 largest pharmaceutical companies. The company reported trailing 12-month revenue exceeding $18 million.
Speaking his thoughts, David West, Co-Founder and CEO of Proscia, said, “Agilent shares our vision for advancing pathology through open, digital, and AI-enabled solutions. Together, we can accelerate innovation while continuing to provide customers with the flexibility they need across clinical and life-sciences workflows.”
The latest development is built on an earlier multi-year distribution agreement between Agilent and Proscia signed in September 2022.
The transaction is subject to customary closing conditions and is expected to close early in Agilent's fiscal year 2027.
