Torrent Pharma Finalises J.B. Chemicals Merger, Creating One of India’s Largest Branded Pharma Businesses

Torrent Pharma has officially completed the merger of Mumbai-based J.B. Chemicals & Pharmaceuticals, marking the final stage of one of India's largest pharmaceutical consolidation deals.

The merger became effective after the company filed the certified copy of the NCLT order and the approved scheme with the Registrar of Companies, enabling both businesses to operate as a single entity.

The acquisition was first announced as part of Torrent Pharma's strategy to strengthen its position in the branded pharmaceutical market.

Following the implementation of the scheme, J.B. Chemicals has been dissolved without undergoing a separate winding-up process.

Its assets, liabilities, employees, contracts, manufacturing facilities, businesses, and other operational responsibilities have automatically transferred to Torrent Pharma.

The company's Memorandum of Association has also been amended to reflect the revised share capital following the amalgamation.

The completion of the merger allows Torrent Pharma to immediately begin integrating J.B. Chemicals' established brands, manufacturing network, distribution channels, and commercial operations.

J.B. Chemicals has built a strong presence in several therapeutic segments while also maintaining an extensive domestic distribution network and an international footprint.

The combined organisation is expected to benefit from greater economies of scale, improved procurement efficiencies, expanded research capabilities, and a broader sales network.

The merger also strengthens Torrent Pharma's presence across key therapy areas, including cardiovascular care, diabetes, central nervous system disorders, gastrointestinal diseases, and anti-infective medicines.

With manufacturing facilities across India and operations spanning more than 40 countries, the company is expected to enhance its ability to serve a wider patient population while improving operational integration across its businesses.
