Temasek, TPG Launch INR 1,750-Cr Block Deal in Dr Agarwals Healthcare

Singapore-based investment firm Temasek and US private equity firm TPG have launched a block deal worth around INR 1,750 crore to sell a combined stake in Dr Agarwals Healthcare, according to Moneycontrol, citing people familiar with the matter. The transaction includes an upsize option of INR 250 crore.
The investors are looking to sell a combined stake of around 11 percent at the base transaction size, according to the report. An additional portion of their holdings could be sold if the upsize option is exercised.
The floor price for the proposed transaction has been set at Rs 500 per share, representing a 7.7 percent discount to Dr Agarwals Healthcare’s previous closing price, according to the deal terms cited in the report.
IIFL Capital and Kotak Securities are serving as investment banks for the proposed transaction, the report said. Moneycontrol reviewed a copy of the deal termsheet.
Temasek and TPG, along with IIFL Capital and Kotak Securities, had not responded to requests for immediate comments at the time of publication, according to the report.
Dr Agarwals Healthcare made its public market debut in February 2025. Its share price has gained nearly 22 percent over the past year.
The proposed stake sale comes as the healthcare company continues to trade in the public markets following its listing last year. The block deal, if completed at the indicated base size, would involve a significant portion of the holdings of the two existing investors.
