Sword Health Confirms Headspace Acquisition for Q4 2026

The transaction will expand Sword Health’s digital physical therapy business further into mental health and behavioral healthcare.

Sword Health has confirmed plans to acquire digital mental health company Headspace in the fourth quarter of 2026, following a signed agreement between the two companies. The transaction will expand Sword Health’s digital physical therapy business further into mental health and behavioral healthcare.

Financial terms of the transaction were not disclosed. Earlier reports based on regulatory filings and sources familiar with the deal indicated that the acquisition could be an all-cash transaction valued between $200 million and $300 million.

Under the agreement, Headspace’s parent company, OrangeDot, is expected to merge with a temporary entity and become a wholly owned subsidiary of Sword Health. The transaction remains subject to customary closing conditions and regulatory approvals.

“ This is one of the most consequential moves we’ve made in our history,” Virgílio Bento, founder and CEO of Sword Health, said in the announcement.

The companies said the combined platform is expected to integrate Sword’s clinical intelligence with Headspace’s digital mental health platform. The planned integration could add personalized care, earlier identification of member needs, navigation across services, and continuous support throughout the mental health journey.

Headspace provides behavioral health services through its consumer platform as well as employer and health plan contracts. Its offerings include mindfulness and wellness tools, along with virtual care from licensed therapists and psychiatrists. The company said its services are expected to continue uninterrupted during the transaction.

Headspace is offered through more than 20,000 companies and has a care network of more than 15,000 providers. The company also said its 15-year operations have generated 84 peer-reviewed studies.

Sword Health, founded in 2015 as a digital musculoskeletal health company, has expanded into additional healthcare categories. Its mental health expansion includes AI Care, a proprietary mental healthcare tool that the company said has reached one million people.

The companies said integration planning is ongoing. Headspace noted that any potential workforce reductions are expected to be limited to duplicative corporate functions and are not expected to affect patient care or clinical service availability.

The proposed acquisition follows Sword Health’s recent expansion through acquisitions, including its $285 million purchase of Kaia Health.
