Natco Pharma Board Approves Fundraising of Up to INR 1,300 Cr Through Rights Issue

Natco Pharma Limited’s board of directors has approved a proposal to raise up to INR 1,300 crore through a rights issue of equity shares to eligible shareholders, the company said.
The rights issue will be offered to equity shareholders whose names appear on the company’s records as of a record date to be determined and notified subsequently. The proposed fundraising is subject to applicable regulatory and statutory approvals.
The board approved the issuance of equity shares with a face value of INR 2 each under the rights issue. The issue will be carried out in accordance with applicable provisions, including the Companies Act, 2013, and the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, as amended.
Natco Pharma said the proposed fundraising was approved at a board meeting held on September 9, 2026. The rights issue is expected to result in changes to the company’s capital structure and shareholding pattern.
In view of the proposed changes, the company said necessary amendments to the relevant scheme would also be required.
The board has also approved the Draft Letter of Offer for the rights issue. The document has been prepared in accordance with the Companies Act, 2013, SEBI ICDR Regulations and other applicable laws.
