Gland Pharma to Acquire 100% Stake in US Subsidiary for US $501,208

The transaction, approved at the Board meeting on September 13, 2026, will make Gland Pharma USA Inc. a direct wholly owned subsidiary of Gland Pharma.

Gland Pharma’s Board of Directors has approved the acquisition of 100% of the equity share capital of Gland Pharma USA Inc. from Gland Pharma International Pte. Ltd., a wholly owned subsidiary of the company, for a cash consideration of US$501,208.

The transaction, approved at the Board meeting on September 13, 2026, will make Gland Pharma USA Inc. a direct wholly owned subsidiary of Gland Pharma. The company said the acquisition is intended to streamline its corporate structure by removing multiple layers of ownership.

The transaction has been classified as a related-party transaction and will be conducted on an arm’s-length basis. The consideration has been determined based on an independent valuation.

Gland Pharma said the acquisition is not expected to have any material impact on its business or operations. The company expects to complete the transaction by October 31, 2026.

Gland Pharma USA Inc. was incorporated on March 7, 2022, and operates in the pharmaceutical industry. Its principal activity is the marketing and distribution of pharmaceutical products in the United States.

According to the company’s disclosure, Gland Pharma USA reported a turnover of US$483,808 in FY24, which declined to US$87,342 in FY25. The subsidiary reported nil turnover in FY26.

The acquisition involves the transfer of the entire equity share capital of Gland Pharma USA from Gland Pharma International Pte. Ltd. to Gland Pharma. Following completion, the US entity will sit directly under the parent company rather than through the existing subsidiary ownership structure.
