GE HealthCare to Acquire SOFIE Biosciences for $945 Mn

GE HealthCare has agreed to acquire the U.S.-based PET radiopharmaceutical contract manufacturer SOFIE Biosciences from Trilantic North America for $945 million in cash, expanding its presence in the radiopharmaceutical supply chain and adding a “final mile” manufacturing footprint across the United States.

The transaction is expected to close in the first half of 2027, subject to regulatory approvals and other closing conditions. Following completion, SOFIE Biosciences will become part of GE HealthCare’s Pharmaceutical Diagnostics (PDx) segment.

SOFIE operates a U.S. network of 15 CMO sites with 21 cyclotrons, along with a theranostics-focused Contract Development and Manufacturing Organization (CDMO) site. GE HealthCare said the acquisition will support the timely distribution of F18-labeled PET radiopharmaceuticals, which have a 110-minute half-life and require time-sensitive manufacturing and delivery.

The deal also gives GE HealthCare U.S. rights to FAPI-74, a Phase III F18 Fibroblast Activation Protein Inhibitor (FAPI) PET radiotracer being developed for potential use across multiple cancer and non-cancer indications. GE HealthCare already holds rights to the asset outside the United States.

The company said the acquisition will allow PDx to participate in radiopharmaceutical opportunities beyond its proprietary portfolio while continuing to work with other established contract manufacturing organizations in the U.S. SOFIE will also continue manufacturing and supplying products from other radiopharmaceutical providers after the transaction closes.

The radiopharmaceutical sector is seeing increased development activity, with approximately 20 PET radiotracers and more than 30 radiotherapeutics currently in development, according to GE HealthCare.

GE HealthCare expects the acquisition to be accretive to revenue growth, adjusted EBIT margin and adjusted earnings per share in the first full year of ownership.

SOFIE Biosciences was acquired by Trilantic North America in 2021. Its portfolio includes GE HealthCare’s Flyrcado (flurpiridaz F18 injection), a PET radiopharmaceutical.
