Apollo Hospitals Secures NCLT Approval for Mega Restructuring, Moves Ahead with Healthtech Demerger

Leading healthcare provider and hospital chain in India, Apollo Hospitals Enterprise Limited, has received approval from the National Law Tribunal (NCLT) for its composite scheme of arrangement.
The National Company Law Tribunal (NCLT), Chennai bench, has approved its application for its proposed composite scheme of arrangement involving the restructuring of Apollo’s healthcare and allied businesses across four entities, Apollo Hospitals Enterprise, Apollo Healthco, Keimed, and Apollo Healthtech.
The restructuring plan aims to create a distinct, focused entity that combines Apollo's extensive pharmacy distribution network with its digital health platform, Apollo 24|7.
This move is expected to enhance operational efficiency, unlock shareholder value, and enable sharper strategic focus across business segments.
The proposed restructuring will create a new entity, Apollo HealthTech Limited, which will consolidate the two other entities, Apollo Healthco and Keimed, into AHTL. This consolidation brings together the digital platform, pharmacy distribution, and wholesale pharmaceutical operations.
The newly formed entity is expected to focus on scaling technology-driven healthcare delivery and expanding the pharmacy distribution network.
Reportedly, the scheme remains subject to approval by shareholders and creditors at the scheduled meetings, as well as to the necessary statutory and regulatory approvals.
The final sanction from the NCLT will be required following successful completion of the shareholder approval process.
Following these approvals, the healthtech vertical shall be listed on the stock exchange, the company informed.
Furthermore, the newly formed Apollo Healthtech also aims to achieve revenues of INR 25,000 crore by the fiscal year 2027.
In a parallel development, the hospital chain has also announced the board's approval to establish a multi-speciality hospital at Dwarka, New Delhi.
The multi-speciality hospital project will be implemented in phases, the company said in a statement.
