Advent International Seeks CCI Approval for 24.9% Stake in Yatharth Hospitals

Private equity firm Advent International has approached the Competition Commission of India (CCI) seeking approval to acquire a 24.9% minority stake in listed healthcare provider Yatharth Hospital and Trauma Care Services Ltd. The proposed investment is being made through Advent’s Cyprus-based investment fund, Rasmalai Ltd.
According to the notice filed with the CCI, the transaction involves Rasmalai acquiring shareholding in Yatharth Hospital. The proposed deal follows a definitive agreement announced last month under which Advent International plans to invest ₹3,150 crore in primary capital into the hospital chain.
Subject to customary closing conditions and regulatory approvals, Advent is expected to hold a 24.9% stake in Yatharth Hospitals after the transaction is completed.
The capital infusion is expected to support Yatharth Hospital’s expansion plans and strengthen its hospital network. Advent, meanwhile, said the transaction aims to expand its presence in India’s healthcare sector.
Founded in 2008, Noida-based Yatharth Hospital and Trauma Care Services operates super-specialty hospitals offering healthcare services, diagnostics and advanced medical procedures across multiple specialties.
The company currently operates nine multi-specialty hospitals with 2,800 beds and has an overall announced capacity of 3,250 beds, making it one of the fastest-growing listed healthcare providers in North India.
In its filing, Rasmalai and Yatharth stated that the proposed combination is not expected to alter the competitive landscape or result in an appreciable adverse effect on competition in India.
The CCI notice identified the relevant market as the “retail sale of pharmaceutical products in India.”
The transaction remains subject to CCI approval and other customary closing conditions.
